ALYT Connector Submission Agreement

This agreement governs a Connector you submit to ALYT for review. By submitting, you accept it. If you submit for an organisation, you confirm you can bind it. Capitalised terms have the meaning given in the Terms of Service, which also apply.

1. What a submission is

1. A “Connector” is an integration, described by a descriptor and the code that implements it, that lets an Installation control or read a device, service or brand.
2. A Connector is PRIVATE until we approve it. A PRIVATE Connector runs only on the Installation that wrote it, and cannot reach the central catalogue.
3. A Connector we approve and publish is PUBLIC. A PUBLIC Connector is distributed by ALYT to every Installation that pulls the catalogue, hosted or self-hosted.
4. Submitting is voluntary. You may keep a Connector PRIVATE forever.

2. Your grant to ALYT

1. For the purpose of review, you grant ALYT a non-exclusive, worldwide, royalty-free licence to copy, run, test, inspect and analyse your Submission.
2. For a PUBLIC Connector, you grant ALYT a non-exclusive, worldwide, royalty-free, sublicensable licence to:
   1. store, copy and distribute the Connector, its descriptor and its listing to Installations;
   2. run it in the Sandbox and in review environments;
   3. display its name, description, icon and your developer name and Brand Features in the catalogue, the console, the app and material that promotes the catalogue;
   4. distribute updates you publish, and apply security patches ourselves where section 7.3 allows.
3. This licence lasts for as long as any Installation may depend on the Connector. Deprecation does not end it (section 7).
4. You keep every other right in the Connector. Nothing here transfers ownership.
5. If you stop distributing a Connector, we stop using its Brand Features in new promotion.

3. Your responsibilities

You are solely responsible for your Connector. In particular you will:

1. make sure it does only what its descriptor declares, including which hosts it reaches and what stops working offline;
2. keep it working when the vendor changes its API, and publish fixes;
3. include no credentials in the Submission (Acceptable Use Policy, section 5);
4. protect the privacy of Households, use their data only to provide the Connector’s function, and keep no copy outside the Installation unless declared;
5. give Households clear instructions for pairing and use;
6. comply with all laws, the Terms of Service and the Acceptable Use Policy.

4. The AI declaration

1. If your Connector sends any Household data to any AI model, whether ALYT’s local inference, a cloud model, or a model you host, the descriptor must declare it. The declaration names the model or provider, the data sent, and the purpose.
2. The portal, the connector page and the install screen show the declaration to the Household before install.
3. A Connector that sends data to a model without declaring it is a material breach. We will unpublish it and may close your Account.
4. If the declaration changes, that is a new version and requires review.

5. Support

1. You will support your PUBLIC Connector. Your support contact is shown on its page to every Installation.
2. You will acknowledge a report from a Household or from ALYT within [5] business days, and fix a security issue within [30] days or agree a date with us.
3. If support lapses, we may mark the Connector unsupported, reduce its visibility, deprecate it, or take it over under section 7.3.

6. Review and publication

1. We may review and test your Submission against these terms, the platform’s technical requirements and applicable law. We may ask for information about you, your organisation and your relationship with the vendor.
2. Approval is at our sole discretion, and approval is separate from publication. We may approve a Connector and delay publication.
3. We may refuse a Submission with or without reasons. You may resubmit after addressing what we tell you.
4. Approval is not an endorsement. ALYT vets what it distributes to the standard described at https://developers.alyt.com/guides/submitting-a-connector; it does not guarantee that a Connector is free of defects.

7. Deprecation, removal and takeover

1. You may deprecate your Connector on 30 days’ written notice. Deprecated means no new installs. Existing installs keep working and are told.
2. We may deprecate, unpublish or remove a Connector, or a version of it, at any time if it breaches this agreement, endangers Households or the Platform, is subject to a valid legal claim, or is unsupported. Where practical we will tell you first.
3. If a security fix is needed and you cannot or do not provide it within the time in section 5.2, you allow us to patch the distributed version to the minimum extent needed to fix it, and to say so on the connector page.
4. A Household can uninstall or revoke a Connector’s install at any time, and an operator can pin or refuse a version. Neither is a breach of this agreement by anyone.
5. Removal does not affect the licence in section 2 for versions already installed.

8. The verified badge

1. ALYT may grant a “verified” badge to a developer account.
2. Verified means only that ALYT has checked the identity of the developer, and, for a brand, that the developer is who they say they are. It is a statement about identity, not about the quality, safety or maintenance of any Connector.
3. We may withdraw the badge if the check no longer holds.

9. Fees and revenue share

1. Today there are no fees to submit, review, publish or install a Connector, and no revenue share.
2. [Future revenue share. If ALYT introduces paid Connectors, the following will apply on at least 30 days’ notice and your acceptance: ALYT will be merchant of record; you set the price in USD; ALYT will remit 70 percent of the sale price to you, net of taxes we must withhold, within [30] days of the end of each month; you set the refund terms and bear refunds; a self-hosted Installation reports installs to ALYT only where its operator has agreed to do so, and ALYT can count only what is reported.]

10. Your representations

You represent and warrant that:

1. you have the right to grant the licences in section 2, and the Connector does not infringe anyone’s copyright, trademark, patent, trade secret or contract;
2. where the Connector uses a vendor’s official API or programme, you hold the licence or membership it requires and will keep it current;
3. where the Connector was built by observing or reverse engineering a vendor’s protocol, you have disclosed that in the Submission, you did so lawfully where you did it, and you know of no vendor term that forbids it, or you have told us of that term;
4. the Connector contains no malicious code and does not undermine the security of any Installation;
5. its listing, screenshots and claims are accurate and not misleading;
6. it is not designed to send unsolicited messages to Households.

11. Disclaimer and liability

1. The Platform, the catalogue and the review are provided “as is”. We do not warrant that review will find every defect.
2. ALYT will not be liable to you or any third party for indirect, incidental, special, consequential or punitive damages under this agreement. ALYT’s total liability under it is limited to USD 500 or the amount you were paid through the Platform in the 12 months before the claim, whichever is greater.

12. Indemnification

You will defend, indemnify and hold harmless ALYT and its officers, employees and agents from claims and expenses, including reasonable attorneys’ fees, arising from your Connector, its listing, your breach of this agreement, any loss or disclosure of Household data by your Connector, or any vendor claim about it.

13. Term and termination

1. This agreement lasts while any Connector of yours is submitted or PUBLIC.
2. Either party may end it on 30 days’ written notice. Your Connectors are then deprecated under section 7.
3. We may end it immediately for a material breach or where the law requires.
4. Sections 2, 7.5, 10, 11 and 12 survive.

14. General

1. We may change this agreement on 30 days’ notice. If you do not accept, deprecate your Connectors before it takes effect.
2. You may not assign this agreement without our consent. We may assign it to a successor of the Platform.
3. The parties are independent contractors.
4. California law governs, and the courts of Los Angeles County, California have exclusive jurisdiction, as in the Terms of Service.
